Terms of Service for the Netice App Revenue Data Platform

Effective for existing Customers: thirty (30) days after Netice gives notice of these Terms, unless the notice states a later date or applicable law requires a different date.
PLEASE READ THESE TERMS CAREFULLY. THEY FORM A LEGALLY BINDING BUSINESS-TO-BUSINESS AGREEMENT AND INCLUDE AUTOMATIC-RENEWAL TERMS, RESTRICTIONS ON USE, DISCLAIMERS OF WARRANTIES, CUSTOMER INDEMNIFICATION OBLIGATIONS, LIMITATIONS OF LIABILITY, AND AN EXCLUSIVE FORUM FOR DISPUTES.
These Terms of Service (the “Terms”) govern access to and use of the Netice App Revenue Data Platform, historically also referred to as the Netice Data Transfer Platform, and related websites, software, documentation, support, integrations, tasks, outputs, and services (collectively, the “Services”).
The Services are provided by Netice Oy, a Finnish limited liability company, Business ID 3188041-8 and EU VAT ID FI31880418 (“Netice,” “we,” “us,” or “our”).
By clicking an acceptance box, creating or using an account, submitting an Order, activating a trial, or otherwise accessing or using the Services, the person accepting these Terms represents and warrants that they have authority to bind the business, organization, or other legal entity for which the Services are used. That entity is the “Customer,” “you,” or “your.” If the person does not have that authority, or if Customer does not agree to these Terms, neither the person nor Customer may access or use the Services.
The Services are intended solely for use in a trade, business, craft, or profession. They are not offered for personal, household, or consumer use. Mandatory rights that cannot lawfully be excluded remain unaffected.

1. Definitions
In these Terms:
- “Account Data” means information Netice processes to register and administer accounts, workspaces, users, subscriptions, billing relationships, support relationships, legal compliance, and communications. Account Data is not Customer Data merely because it relates to Customer.
- “Affiliate” means an entity that directly or indirectly controls, is controlled by, or is under common control with a party.
- “Authorized User” means an employee, contractor, adviser, or other natural person whom Customer authorizes to use the Services under Customer’s account or workspace.
- “Beta Service” means a preview, pilot, beta, early-access, experimental, evaluation, development, or otherwise non-generally-available feature or service.
- “Customer Data” means data, files, reports, records, content, instructions, configurations, and other information that Customer or an Authorized User submits to the Services, that Netice retrieves from a Third-Party Service on Customer’s instructions, or that Netice processes for Customer to produce an Output. As between the parties, platform-reported Apple App Store and Google Play data obtained under Customer’s authorization is Customer Data. Customer Data excludes Account Data, Usage Data, Netice Materials, and data belonging to another customer.
- “Customer Personal Data” means Personal Data contained in Customer Data that Netice processes on Customer’s behalf.
- “Documentation” means the then-current user, technical, security, schema, setup, support, and operating documentation Netice makes available for the Services.
- “Integration Credentials” means passwords, private keys, API keys, service-account material, tokens, certificates, role identifiers, external identifiers, or other access material used to connect a source or destination.
- “Netice Materials” means the Services, software, source code, object code, user interfaces, workflows, models, transformations, mappings, schemas as a product design, documentation, APIs, templates, methods, know-how, security architecture, and all related intellectual property, excluding Customer Data.
- “Order” means a checkout transaction, subscription selection, online order, accepted quotation, order form, statement of work, or other written ordering document accepted by Netice or its authorized reseller that identifies the Services, Subscription Term, fees, plan, usage limits, or other commercial terms.
- “Output” means a customer-facing dataset, table, file, report artifact, manifest, schema description, or other result the Services create from Customer Data and deliver or make available to Customer.
- “Personal Data,” “Controller,” “Processor,” “Data Subject,” and “Processing” have the meanings given in applicable data-protection law.
- “Restricted Data” has the meaning in Section 9.
- “Security Incident” means a confirmed accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Personal Data processed by Netice. It does not include unsuccessful attempts or events that do not compromise Customer Personal Data, such as blocked scans, pings, unsuccessful login attempts, denial-of-service attempts that do not result in unauthorized access, or attacks on Customer’s or a Third-Party Service’s systems.
- “Subscription Term” means the trial, monthly, annual, or other period stated in an Order.
- “Third-Party Service” means a product, platform, API, network, website, cloud, storage system, warehouse, payment provider, identity provider, app marketplace, or other service not controlled by Netice, including Apple App Store Connect, Google Play Console, Google Cloud, AWS, Snowflake, Firebase, and Paddle.
- “Usage Data” means service-generated technical, operational, diagnostic, security, performance, and usage information concerning use and operation of the Services. Usage Data does not include raw Customer Data merely because Netice processes that data to provide the Services.
2. Contracting Documents and Order of Precedence
2.1. Entire contract. The agreement between Netice and Customer consists of these Terms, the applicable Order, Schedule 1 (Data Processing Addendum), Schedule 2 (Security Measures), Schedule 3 (Switching and Portability), any service-level agreement expressly signed by Netice, and any other document expressly incorporated by reference (collectively, the “Agreement”).
2.2. Priority. If there is a conflict, the following order applies, but only for the subject matter of the conflicting provision:
- a separately negotiated agreement or Order signed by an authorized representative of Netice, but only where it expressly identifies the provision it overrides;
- Schedule 1, solely for Processing of Customer Personal Data;
- a signed service-level agreement, solely for service levels and remedies stated in it;
- these Terms and Schedules 2 and 3;
- Documentation.
2.3. Marketing is not a warranty. Website copy, demonstrations, roadmaps, sales presentations, examples, estimates, support targets, and Documentation describe the Services but do not create a warranty, service level, guaranteed delivery date, or commitment to future functionality unless expressly included in a signed Order.
2.4. Customer forms rejected. Terms in a purchase order, procurement portal, vendor-registration form, email, or other Customer document do not modify the Agreement and are rejected, even if Netice accepts payment, provides the Services, or does not separately object.
2.5. Paddle and other resellers. A purchase may be sold and processed by Paddle or another authorized reseller or merchant of record. The reseller’s buyer terms govern the sale transaction, payment processing, tax collection, invoice, refund administration, and reseller relationship. This Agreement governs access to and use of the Services. If the reseller’s terms and this Agreement conflict, the reseller’s terms control only for the payment transaction and mandatory reseller obligations; this Agreement controls the Services.
3. The Services and Product Boundaries
3.1. Service scope. Netice provides SaaS functionality for configuring and operating app-business data pipelines, including recurring tasks, backfills, reruns, saved connections, source retrieval, normalization, enrichment, structuring, and delivery into customer-selected destinations. The Services may also include other data-transfer, automation, implementation, or related services expressly enabled by Netice or identified in an Order.
3.2. Current product focus. Depending on Customer’s plan, configuration, region, and enabled features, the Services may process:
- daily Apple App Store and Google Play app-sales reporting for operational analytics;
- monthly platform-finance or settlement-style reports where that workflow is offered and enabled;
- provider-native raw report artifacts where supported; and
- related metadata, schemas, manifests, task states, and operational summaries.
3.3. Destinations. Supported workflows may deliver Outputs into customer-owned Google BigQuery, Snowflake, Google Cloud Storage, or AWS S3 environments. Not every source, report family, feature, format, destination, or combination is available for every plan or configuration.
3.4. Customer-owned destinations. Customer-owned destination language means that the final managed Output is written to an account or resource controlled by Customer. It does not mean that Netice never transiently receives, stages, caches, or otherwise processes Customer Data to provide, secure, troubleshoot, or maintain the Services.
3.5. No system-of-record status. The Services and Outputs are an operational data-processing and reporting layer. Netice is not the originating platform, payment processor for app-store proceeds, bank, general ledger, statutory accounting record, tax engine, audit system, revenue-recognition system, or guaranteed system of record.
3.6. Implementation discretion. Netice determines the infrastructure, architecture, hosting, tools, subprocessors, operating methods, scheduling logic, security controls, and technical means used to provide the Services, subject to the Agreement and applicable law.
3.7. Feature availability. Features may be generally available, plan-limited, workspace-enabled, private preview, beta, region-limited, source-dependent, or unavailable. References to a feature do not guarantee that Customer is entitled to or technically able to use it.
3.8. No exclusivity. Netice may provide the same or similar services to others and may independently develop products, methods, or outputs that are similar to those used for Customer, provided Netice does not use or disclose Customer’s Confidential Information except as permitted by the Agreement.
4. Eligibility, Authority, Accounts, and Workspaces
4.1. Business use and authority. Customer represents and warrants that it is a valid business or other legal entity, uses the Services for professional purposes, has legal capacity to enter the Agreement, and has obtained all internal approvals required to do so. Each individual accepting or administering the Agreement must be at least eighteen (18) years old or the age of legal majority in their jurisdiction, whichever is higher.
4.2. Accurate information. Customer must provide accurate, complete, and current registration, organization, country, billing, tax, and contact information. Netice may require verification of Customer’s identity, authority, business status, email address, payment details, or rights to a source or destination.
4.3. Authorized Users. Customer controls which Authorized Users may access a workspace and their roles. Customer is responsible for:
- authorizing only persons with a legitimate business need;
- assigning appropriate roles and promptly removing access;
- all instructions and actions taken through Customer’s accounts by Authorized Users; and
- ensuring Authorized Users comply with the Agreement.
Customer is not responsible to the extent unauthorized activity was directly caused by Netice’s breach of the Agreement and Customer could not reasonably have prevented it.
4.4. Workspace and billing authority. Netice may rely on instructions from an authenticated workspace owner, organization owner, billing owner, or other user whom the Services identify as having the relevant authority. Customer must maintain at least one active, authorized owner and ensure continuity before an owner leaves, transfers duties, or loses access.
4.5. Account security. Customer must:
- keep passwords and Integration Credentials confidential;
- use unique accounts and not share user credentials;
- use multi-factor authentication where required or reasonably appropriate;
- protect devices, email accounts, identity-provider accounts, and recovery methods;
- promptly notify Netice of suspected compromise; and
- cooperate with reasonable security verification and remediation requests.
4.6. Authentication providers. If an account uses a Third-Party Service for authentication, Customer remains responsible for securing that account and complying with the provider’s terms. Netice is not responsible for provider-side lockouts, recovery failures, or authentication outages.
4.7. No account transfer. Customer may not sell, rent, sublicense, lend, or transfer an account, workspace, trial, or subscription without Netice’s prior written consent.
4.8. Reliance on account instructions. Netice may treat instructions submitted through authenticated accounts, APIs, support requests, and verified contacts as authorized until Customer gives effective notice otherwise.
5. Subscription Right and License
5.1. Limited right. Subject to Customer’s continued compliance and payment of all applicable fees, Netice grants Customer a limited, non-exclusive, non-sublicensable, non-transferable, and revocable right during the Subscription Term to access and use the Services and Documentation for Customer’s internal business purposes and within applicable usage limits.
5.2. Authorized Users only. Customer may permit Authorized Users to exercise the right in Section 5.1 solely on Customer’s behalf. Customer remains liable for their compliance.
5.3. No implied rights. Except for the limited right expressly granted, Netice and its licensors retain all rights, title, and interest in and to the Netice Materials. No rights are granted by implication, estoppel, exhaustion, or otherwise.
5.4. Documentation and schemas. During the Subscription Term, Customer may reproduce reasonable portions of Documentation internally for operation of the Services. After termination, Customer may continue using schema descriptions and documentation already provided to the extent reasonably necessary to interpret, use, retain, or migrate its Outputs, but may not redistribute them as a standalone product or use them to create a competing service.
5.5. APIs and automation. Customer may use an API or automated interface only where Netice expressly documents and authorizes that use. Undocumented scraping, browser automation, or direct access to internal endpoints is prohibited.
6. Customer Sources, Destinations, and Integration Credentials
6.1. Authorization. Customer instructs and authorizes Netice to access the sources and destinations Customer configures and to take the technical actions reasonably necessary to provide the Services.
6.2. Customer warranties. Customer represents and warrants that it:
- lawfully owns or controls each source and destination or has sufficient authorization from the owner;
- may grant Netice the access and Processing rights required by the Agreement;
- has complied with applicable Third-Party Service terms and permission requirements;
- will not use credentials or data obtained unlawfully or without authorization; and
- will configure access with appropriate scopes and least privilege where reasonably available.
6.3. Credential submission. Integration Credentials may be submitted only through the designated secure connection or credential fields. Customer must never place credentials in task names, free-text fields, support messages, screenshots, logs, ordinary email, or other non-designated channels.
6.4. Credential handling. Netice may store Integration Credentials or protected secret material through an approved secret backend and persist references or safe metadata separately. Credential values may be write-only and may not be displayed back to Customer. Netice may rotate, disable, delete, or require replacement of credentials where reasonably necessary for security or operation.
6.5. Customer retains originals. Netice is not a credential escrow or recovery service. Customer must retain original credentials and provider-side administrative access. Deleting a saved connection in Netice does not necessarily revoke permissions at the provider. Customer must revoke or rotate provider-side grants when access is no longer needed.
6.6. Target configuration. Customer is responsible for choosing and verifying destination projects, accounts, buckets, prefixes, databases, schemas, tables, permissions, regions, retention rules, backups, and other target settings. Netice may validate or reserve managed target identifiers but does not assume ownership of the destination.
6.7. Third-party changes. Third-Party Services may change APIs, report formats, publishing schedules, permissions, authentication, quotas, availability, policies, or pricing without notice to Netice. Netice may adapt, delay, suspend, limit, or discontinue an affected integration and is not liable for a Third-Party Service’s acts or omissions.
6.8. Provider costs. Customer is responsible for Third-Party Service fees, egress, storage, compute, warehouse, API, network, tax, and other costs incurred in Customer-controlled accounts or destinations.
7. Customer Data: Ownership, Instructions, and License
7.1. Ownership. As between the parties, Customer retains all right, title, and interest in Customer Data. Netice acquires no ownership in Customer Data.
7.2. Processing license. Customer grants Netice and its subprocessors a worldwide, non-exclusive, limited right during the Agreement to host, receive, retrieve, reproduce, transmit, transform, normalize, enrich, structure, stage, cache, store, load, display, troubleshoot, secure, back up, delete, and otherwise Process Customer Data solely to:
- provide and operate the Services;
- follow Customer’s documented instructions;
- prevent or address security, fraud, abuse, or technical problems;
- provide support requested by Customer;
- comply with law; and
- enforce the Agreement.
7.3. Customer instructions. Customer’s documented instructions consist of the Agreement, Orders, task and connection configurations, settings selected through the Services, and other lawful written instructions Netice accepts. Netice is not required to follow instructions that are unlawful, technically infeasible, outside the Services, or inconsistent with the Agreement.
7.4. Customer responsibility. Customer is solely responsible for the lawfulness, quality, accuracy, integrity, completeness, classification, and appropriateness of Customer Data and for obtaining all notices, consents, permissions, and legal bases required to Process it.
7.5. No duty to inspect. Netice is not obligated to review Customer Data for legality, accuracy, completeness, Restricted Data, or compliance. Netice may use automated controls, metadata, sampling, or limited access where reasonably necessary for security, support, legal compliance, abuse prevention, or service operation.
7.6. Operational access. Authorized Netice personnel and subprocessors may access Customer Data only where reasonably necessary for their role and subject to confidentiality and access controls. Netice does not promise that all Processing is fully unattended.
7.7. Outputs. As between the parties, Customer owns the Customer Data embodied in Outputs. Netice retains all rights in Netice Materials, transformation logic, generic schemas, methods, and know-how used to create them. Customer may use its Outputs without restriction, subject to third-party rights and law.
7.8. Usage Data and de-identified data. Netice may collect and use Usage Data and data derived from Customer Data only where it has been aggregated or de-identified so that it does not identify Customer, an Authorized User, an app, a transaction, or an individual. Netice may use such data to operate, secure, analyze, benchmark, develop, and improve the Services and its business. Netice will not attempt to re-identify de-identified data except to test the effectiveness of de-identification, where permitted by law.
7.9. Customer backups. Customer must maintain independent copies of source data, credentials, configurations, and Outputs appropriate to its risk. Netice is not a backup, archival, disaster-recovery, or records-retention service unless an Order expressly says otherwise.
8. Privacy Roles and Data Protection
8.1. Account and business operations. Netice generally acts as an independent Controller for Account Data and other Personal Data it determines how and why to Process for account administration, authentication, billing support, service communications, security, fraud prevention, legal compliance, and establishment or defense of legal claims. Netice’s Privacy Policy applies to those activities.
8.2. Customer Personal Data. To the extent Netice Processes Customer Personal Data on Customer’s behalf, Customer is the Controller or Processor, as applicable, and Netice is Customer’s Processor or subprocessor. Schedule 1 applies to that Processing.
8.3. No universal “processor-only” representation. Nothing in the Agreement means Netice acts solely as a Processor for every category of Personal Data or that Netice may never Process data for its own lawful operational, security, billing, or legal purposes.
8.4. Security information. Netice’s then-current Privacy Policy and Security Policy are available at the following pages or their successor URLs:
8.5. Customer compliance. Customer remains responsible for determining whether the Services are suitable for its Processing, conducting any required data-protection impact assessment, responding to Data Subjects, providing notices, identifying lawful bases, and configuring appropriate retention and access.
9. Restricted Data and Prohibited Sensitive Uses
9.1. Restricted Data. Unless Netice expressly accepts it in a separately signed agreement that specifically identifies the data and required safeguards, Customer must not submit to, transmit through, or use the Services to Process:
- special categories of Personal Data under Article 9 GDPR or equivalent law, including data revealing race or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, genetic data, biometric data used for unique identification, health data, or data concerning sex life or sexual orientation;
- criminal-conviction or offence data subject to Article 10 GDPR or equivalent law;
- protected health information regulated by HIPAA or similar healthcare law;
- medical records, genetic records, psychotherapy records, or clinical data;
- government-issued identification numbers or images, including social-security, national-identification, passport, driver-license, or tax-identification data relating to individuals;
- full payment-card data, card verification values, magnetic-stripe data, PIN data, bank-account login credentials, or data requiring Netice to be a PCI DSS card-data environment;
- consumer bank-account numbers, crypto private keys, seed phrases, or other assets that directly enable transfer of value;
- passwords, authentication secrets, or private keys, except Integration Credentials submitted through the designated secure credential fields;
- data relating to children where special legal protections apply;
- precise geolocation, private communications content, or surveillance data at a scale or in a context that creates heightened legal risk;
- classified information, state secrets, export-controlled technical data, law-enforcement restricted data, or information subject to professional secrecy that Customer is not authorized to disclose;
- data subject to banking secrecy, telecommunications secrecy, critical-infrastructure, defense, gambling, insurance, credit-reporting, or other sector-specific requirements that the standard Services are not expressly designed to satisfy; or
- any data whose Processing would require Netice to execute a business associate agreement, sector-specific certification, localization commitment, regulatory filing, or other obligation not expressly accepted in a signed Order.
9.2. Ordinary business and app-reporting data. Ordinary business contact details, app identifiers, product identifiers, country and currency fields, platform-reported amounts, and pseudonymous transaction or subscription metadata are not automatically Restricted Data. Customer must nevertheless assess its actual dataset and legal obligations.
9.3. Integration Credentials exception. The prohibition in Section 9.1 does not prevent Customer from providing Integration Credentials through designated secure credential fields for the limited purpose of connecting an authorized source or destination.
9.4. No sensitive data in support. Customer must not include raw reports, credentials, secrets, Restricted Data, or unnecessary Personal Data in support tickets or communications. Netice may redact or delete such material and may decline to process it.
9.5. Unauthorized Restricted Data. If Customer submits Restricted Data contrary to the Agreement:
- Customer does so without Netice’s authorization;
- Customer remains fully responsible for the data and resulting legal obligations;
- Netice may immediately suspend Processing, quarantine, return, or delete the data;
- Netice may require a security or compliance review at Customer’s expense; and
- Customer must indemnify Netice as stated in Section 28.
9.6. No implied regulated service. A plan name, code path, technical capability, encryption feature, or prior isolated accommodation does not mean the Services are HIPAA-compliant, PCI-compliant, approved for Restricted Data, or suitable for a regulated use. Only an express signed agreement may create such a commitment.
10. Acceptable Use and Protection Against Abuse
Customer and Authorized Users must not, directly or indirectly:
- use the Services unlawfully or in a way that infringes, misappropriates, or violates another person’s rights;
- access, collect, transfer, or Process data without valid authorization;
- submit malware, ransomware, malicious code, corrupted files, or content designed to disrupt or compromise systems;
- use the Services for phishing, spam, credential theft, fraud, deception, impersonation, or evasion of law enforcement;
- attempt to gain unauthorized access to any account, tenant, workspace, source, destination, system, network, secret, data, or administrative interface;
- probe, scan, fuzz, penetration-test, exploit, or attempt to discover or demonstrate a vulnerability without Netice’s prior written authorization;
- exploit or retain access gained through an error, vulnerability, misconfiguration, exposed credential, or unintended behavior;
- interfere with, overload, disrupt, degrade, disable, or impose an unreasonable burden on the Services or a Third-Party Service;
- create loops, excessive backfills, repeated retries, abusive schedules, artificial traffic, or other workloads intended or reasonably likely to cause disproportionate infrastructure or provider costs;
- circumvent or attempt to circumvent usage limits, rate limits, security controls, authentication, subscription gates, task limits, trials, billing, tenant boundaries, or managed-target ownership;
- create multiple accounts, entities, workspaces, or identities to obtain repeated trials, avoid fees, evade a suspension, or conceal common control;
- use another customer’s account, credentials, data, destination, or subscription;
- reverse engineer, decompile, disassemble, translate, adapt, modify, copy, or create derivative works of the Services except to the limited extent a prohibition is not enforceable under mandatory law;
- scrape, crawl, index, data-mine, or systematically extract content, metadata, pricing, or functionality from the Services except through an expressly authorized API;
- benchmark, test, or publish performance, security, availability, or comparative results without Netice’s prior written consent;
- use the Services or Netice Materials to build, train, validate, market, or operate a competing product or service;
- remove proprietary notices or misrepresent the origin, affiliation, approval, or ownership of the Services or Outputs;
- resell, sublicense, white-label, time-share, provide service-bureau access to, or otherwise make the Services available to third parties unless an Order expressly permits it;
- violate Apple, Google, a cloud provider, a destination provider, or another Third-Party Service’s terms or technical restrictions;
- use the Services in or for emergency response, life support, medical diagnosis, nuclear systems, weapons, autonomous safety-critical control, or other use where failure could reasonably cause death, serious injury, or major physical or environmental damage;
- use the Services as the sole basis for a legally significant decision about an individual; or
- encourage, enable, or assist anyone to do any of the foregoing.
Netice may investigate suspected violations, preserve relevant evidence, cooperate with competent authorities, and take protective action under Section 20.
11. Vulnerability Reporting and Security Research
11.1. No authorization by implication. Public availability of the Services, a security contact, or a vulnerability-reporting channel does not authorize testing.
11.2. Written permission required. Active security testing, scanning, automated probing, exploit development against production, access to data not belonging to the researcher, service disruption, social engineering, credential testing, or public disclosure requires Netice’s prior written authorization defining scope and conditions.
11.3. Good-faith reports. A person who unintentionally encounters a suspected vulnerability must stop testing, avoid accessing or retaining data, avoid disruption, preserve confidentiality, and report it promptly through Netice’s designated security or support channel.
11.4. No use or disclosure. A reporter may not exploit a vulnerability for commercial advantage, demand payment as a condition of nondisclosure, share it with others, or disclose it publicly before Netice confirms that disclosure is permitted.
11.5. No bounty commitment. Netice is not obligated to pay a reward, credit, fee, or expense unless Netice agreed to it in writing before the relevant work.
12. Trials, Evaluations, and Beta Services
12.1. Trials. Netice may offer a trial for the period stated at registration or in an Order. Unless expressly stated otherwise for a particular offer, the self-service trial may last up to thirty (30) days, may be offered without a payment card, and does not result in billing unless Customer affirmatively purchases a paid subscription.
12.2. Trial eligibility. A trial is limited to one per Customer and its Affiliates unless Netice approves otherwise. Netice may deny, shorten, limit, or terminate a trial where it reasonably suspects duplicate use, misrepresentation, abuse, unusual cost, security risk, or ineligibility.
12.3. Trial limitations. Trials and evaluations are provided for assessment only, may have limited features, tasks, history, volume, support, retention, or destinations, and have no service-level commitment.
12.4. Trial data. Customer must export any data it wishes to retain before the trial ends. Netice may disable tasks and delete trial configurations and data after the applicable retrieval period, subject to law and Schedule 3 where applicable.
12.5. Beta Services. Beta Services are provided “as is,” may be incomplete, inaccurate, unstable, or subject to additional terms, and may be changed or discontinued at any time. Beta Services must not be used for production-critical purposes unless Netice expressly authorizes that use.
12.6. Beta confidentiality. Non-public Beta Services, related documentation, performance, and feedback are Netice Confidential Information unless Netice states otherwise.
13. Fees, Billing, Renewals, Taxes, and Payment
13.1. Fees. Customer must pay the fees, charges, and taxes stated in the Order. Fees are based on the subscription and entitlements purchased, not actual use, and payment obligations are non-cancellable and non-refundable except as expressly stated in the Agreement or required by law.
13.2. Authorized reseller. Where Paddle or another authorized reseller sells the subscription:
- Customer purchases the subscription from the reseller;
- the reseller may be the merchant or seller of record;
- Customer authorizes recurring charges under the reseller’s buyer terms;
- cancellation, invoices, payment-method updates, and refund administration may be handled through the reseller; and
- Customer must comply with both the reseller’s buyer terms and this Agreement.
13.3. Automatic renewal. Unless an Order says otherwise, a paid subscription automatically renews for successive periods equal to the expiring Subscription Term until cancelled in accordance with the applicable billing portal and the Agreement.
13.4. Cancellation. Customer may request cancellation through the available subscription or buyer portal. Cancellation is effective at the end of the then-current paid Subscription Term unless mandatory law or the applicable reseller terms require otherwise. Customer retains access through that date, subject to suspension rights. No partial-period refund or credit is due.
13.5. Non-renewal by Netice. Netice may elect not to renew a subscription by giving reasonable notice before renewal. Netice is not liable for non-renewal except to refund prepaid fees for a period after the effective termination date, if any.
13.6. Upgrades and downgrades. An upgrade may take effect immediately and may incur immediate or prorated charges. A downgrade generally takes effect at the next renewal unless the billing interface states otherwise. A downgrade may reduce tasks, features, history, support, destinations, data retention, or other entitlements and may cause tasks to be paused.
13.7. Price changes. Netice or its reseller may change subscription prices for a future renewal by giving at least thirty (30) days’ notice or the notice required by law. If Customer does not accept the new price, its remedy is to cancel before the price takes effect.
13.8. Taxes. Prices are exclusive of VAT, sales, use, withholding, and similar taxes unless the Order states otherwise. Customer must provide accurate business and tax information, including a valid VAT or tax ID where applicable. Customer is responsible for taxes not collected by the reseller, excluding taxes based on Netice’s net income.
13.9. Withholding. If Customer must withhold tax, Customer must gross up the payment so Netice or its reseller receives the amount it would have received without withholding, unless law prohibits gross-up. Customer must provide valid withholding documentation promptly.
13.10. Payment failure. If payment is late, rejected, reversed, charged back, or otherwise not received:
- the reseller may retry payment or cancel the transaction;
- Netice may suspend or limit the Services without liability;
- amounts remain due;
- Customer must reimburse reasonable collection costs; and
- late amounts accrue interest at the maximum rate permitted by applicable Finnish law.
13.11. Chargebacks. Customer must first use the reseller’s and Netice’s support channels to resolve a billing issue. Fraudulent or abusive chargebacks are a material breach and may result in immediate suspension or termination. This does not limit a non-waivable right to dispute a charge.
13.12. No setoff. Customer may not withhold, offset, or deduct amounts from fees except where a final non-appealable judgment establishes the right to do so.
13.13. Billing disputes. Customer must notify the applicable reseller and Netice of a good-faith fee dispute within thirty (30) days after the charge or invoice, with sufficient detail. Failure to do so waives the dispute to the fullest extent permitted by law.
13.14. Currency and banking costs. Customer bears foreign-exchange, bank, card, wire, intermediary, and payment-provider charges associated with payment.
14. Usage Limits, Excessive Use, and Cost Protection
14.1. Limits. Plans may limit active tasks, users, providers, destinations, report families, frequency, history, backfills, refresh windows, storage, file size, row volume, API activity, runtime, support, or other resources. Current limits may be shown in an Order, the Services, or Documentation.
14.2. Enforcement. Netice may reject, queue, throttle, pause, limit, or stop tasks that exceed an entitlement or safe operating threshold. Exceeding a limit does not obligate Netice to complete the workload.
14.3. Abnormal use. Netice may impose temporary protective limits where use materially differs from normal use for the purchased plan, creates unusual cost or risk, harms other customers, or threatens availability, even if a numerical limit has not been published.
14.4. Cooperation. Netice may require Customer to reduce frequency, split workloads, narrow history, correct a loop, rotate credentials, change configuration, upgrade a plan, or purchase additional capacity.
14.5. Misuse costs. If Customer’s breach, circumvention, unauthorized automation, negligent loop, repeated excessive backfill, compromised account, or other misuse causes Netice to incur material third-party infrastructure, API, security-response, investigation, or remediation costs beyond ordinary service delivery, Customer must reimburse Netice’s documented direct costs. This is in addition to other remedies and is not an automatic entitlement to overage capacity.
14.6. No cost guarantee in Customer accounts. Netice does not guarantee or cap costs incurred in Customer-controlled cloud, warehouse, storage, or provider accounts. Customer must configure its own budgets, alerts, quotas, retention, and billing controls.
15. Support, Maintenance, and Customer Cooperation
15.1. Support channel. Standard support is provided remotely through the Netice Support Portal at Netice Support Portal or a successor channel. Customer must not use a support request as a substitute for an emergency-response service.
15.2. Targets are not SLAs. Any stated response target, availability statement, expected publishing time, setup estimate, or resolution estimate is a non-binding operational target unless included in a signed service-level agreement.
15.3. Support scope. Standard support may include reasonable assistance concerning account access, task setup, supported configurations, error investigation, and documented use. It does not include custom engineering, accounting review, data cleansing, tax advice, provider administration, migration project management, or work in Customer’s systems unless agreed in an Order.
15.4. Customer cooperation. Customer must provide timely, accurate, and sanitized information reasonably required to investigate an issue, maintain authorized access, reproduce problems, implement recommended fixes, and confirm resolution. Netice is not responsible for delay caused by Customer or a Third-Party Service.
15.5. Access for support. If support requires access to Customer’s workspace, task metadata, source data, or destination, Netice may require explicit authorization, least-privilege temporary access, or Customer-supervised access. Customer must not provide broader access than necessary.
15.6. Maintenance. Netice may perform scheduled or emergency maintenance. Where commercially reasonable, Netice will provide advance notice of planned maintenance expected to materially affect the Services. Emergency maintenance may occur without notice.
16. Service Availability, Changes, and Deprecation
16.1. Commercially reasonable efforts. Netice will use commercially reasonable efforts to operate paid generally available Services, but no uptime, recovery-time, recovery-point, support-response, data-delivery, or error-resolution commitment applies unless stated in a signed service-level agreement.
16.2. No uninterrupted service. The Services may be unavailable or delayed because of maintenance, defects, provider publishing schedules, API limits, authentication failures, cloud incidents, internet failures, security events, legal requirements, Customer configuration, or events outside Netice’s control.
16.3. Changes. Netice may modify the Services, interfaces, schemas, transformations, enrichment logic, schedules, infrastructure, subprocessors, Documentation, and supported sources or destinations to improve, secure, maintain, or develop the Services or respond to Third-Party Service changes.
16.4. Material reductions. For a material discontinuation of core paid generally available functionality, Netice will use commercially reasonable efforts to give advance notice where practicable. No notice is required for emergency security action, legal requirements, Third-Party Service action, Beta Services, or changes that do not materially reduce Customer’s purchased core functionality.
16.5. Deprecation and migration. Netice may replace a feature or integration with a materially similar workflow. Customer must implement reasonable migration steps by the stated deadline. Failure to do so may result in task failure or suspension.
16.6. No roadmap reliance. Customer has not relied on future features, public roadmaps, anticipated integrations, or oral statements when entering the Agreement.
17. Security Responsibilities
17.1. Netice measures. Netice will maintain technical and organizational measures designed to protect Customer Data as described in Schedule 2. Netice may update those measures provided the overall level of protection is not materially reduced.
17.2. No absolute security. No system is completely secure. Netice does not warrant that attacks, vulnerabilities, unauthorized access, data loss, or Security Incidents will never occur.
17.3. Shared responsibility. Customer is responsible for security outside Netice’s controlled Services, including source accounts, destination accounts, devices, networks, identity providers, user access, provider permissions, cloud configuration, backups, and incident response in Customer-controlled systems.
17.4. Customer notifications. Customer must promptly notify Netice of compromised accounts or Integration Credentials, suspicious activity, unauthorized source or destination changes, or an incident that may affect the Services.
17.5. Protective action. Netice may invalidate sessions, rotate or disable credentials, pause tasks, restrict network access, require reauthentication, or take other reasonable protective action without prior notice where necessary to address a security risk.
17.6. International access transparency. Information about applicable processing locations, international transfers, and safeguards against unlawful international governmental access is provided through the Privacy Policy, Security Policy, and applicable subprocessor information. Customer acknowledges that Customer-selected source and destination regions and Third-Party Services may affect where data is processed.
18. Confidentiality
18.1. Confidential Information. “Confidential Information” means non-public information disclosed by or on behalf of a party that is marked confidential or that a reasonable business person would understand to be confidential given its nature and circumstances. Customer Data and Integration Credentials are Customer Confidential Information. Non-public Netice software, security information, pricing, architecture, roadmaps, vulnerability information, and Netice Materials are Netice Confidential Information.
18.2. Exclusions. Confidential Information does not include information the receiving party can document:
- is or becomes public without breach;
- was lawfully known without restriction before disclosure;
- is received lawfully from a third party without confidentiality duty; or
- is independently developed without use of the disclosing party’s Confidential Information.
18.3. Protection and use. The receiving party must:
- use Confidential Information only to exercise rights or perform obligations under the Agreement;
- protect it with at least reasonable care and no less care than it uses for its own similar information;
- disclose it only to personnel, Affiliates, professional advisers, insurers, financing sources, auditors, and subcontractors who need to know and are bound by confidentiality obligations; and
- remain responsible for those recipients’ compliance.
18.4. Required disclosure. A receiving party may disclose Confidential Information as required by law, court, or competent authority. Where legally permitted, it will give prompt notice and reasonable assistance so the disclosing party may seek protection. The receiving party will disclose only what is legally required.
18.5. Duration. Confidentiality obligations continue for five (5) years after disclosure, except obligations for trade secrets, Customer Data, and Integration Credentials continue for as long as the information remains protected as a trade secret or confidential by its nature.
18.6. Equitable relief. Unauthorized use or disclosure may cause irreparable harm for which damages are inadequate. The disclosing party may seek injunctive or equitable relief in addition to other remedies.
19. Intellectual Property, Feedback, and Publicity
19.1. Netice ownership. Netice and its licensors own all Netice Materials, improvements, modifications, derivative works, and intellectual property arising from or relating to the Services, regardless of whether created in response to Customer feedback or requirements.
19.2. Customer ownership. Customer owns Customer Data and its rights in Outputs as stated in Section 7. Third-party report formats, provider content, and trademarks remain subject to their owners’ rights.
19.3. Feedback. If Customer provides ideas, requests, recommendations, corrections, or feedback, Customer grants Netice a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, disclose, reproduce, modify, commercialize, and otherwise exploit it without restriction or attribution. Customer must not submit feedback subject to a duty that would limit this right.
19.4. Generic learning. Netice may use general skills, experience, concepts, methods, and know-how retained in unaided memory by personnel, provided it does not disclose Customer Confidential Information.
19.5. Open-source and third-party components. Components made available under open-source or third-party licenses are governed by those licenses, which may grant additional rights directly to Customer.
19.6. Customer reference. Customer grants Netice a non-exclusive, royalty-free license during the paid customer relationship to display Customer’s business name and logo in a factual customer list, website, presentation, or sales material. Netice will not imply endorsement or disclose the commercial terms. Customer may opt out by written notice, after which Netice will remove future uses within a reasonable period.
19.7. No public statements for Customer. Except for Section 19.6, Netice will not issue a press release specifically about Customer without Customer’s prior approval.
20. Suspension, Restriction, and Protective Measures
20.1. Grounds. Netice may immediately suspend, restrict, throttle, disable, or isolate any account, user, task, connection, source, destination, feature, or data flow if Netice reasonably believes:
- Customer breached the Agreement;
- fees are overdue or a transaction was reversed;
- an account, credential, source, or destination is compromised;
- use is unlawful, unauthorized, fraudulent, abusive, or harmful;
- use threatens security, integrity, availability, cost, or another customer;
- a Third-Party Service, court, regulator, payment provider, or competent authority requires action;
- Customer or a user is subject to sanctions or export restrictions;
- Customer submitted Restricted Data;
- continued operation could expose Netice to material liability; or
- suspension is necessary for maintenance or emergency response.
20.2. Notice. Netice will give notice and an opportunity to cure where commercially reasonable and legally permitted. Netice may act without notice where delay could increase risk, compromise an investigation, violate law, or harm Netice, Customer, another customer, or a third party.
20.3. Scope. Netice will use reasonable efforts to limit suspension to the affected scope, but may suspend the entire account where necessary.
20.4. Reinstatement. Netice may condition reinstatement on payment, verification, remediation, credential rotation, configuration changes, additional safeguards, a plan upgrade, or written assurance of compliance.
20.5. Fees and liability. Suspension does not relieve Customer of payment obligations and does not extend a Subscription Term. Netice is not liable for a good-faith suspension under this Section.
21. Platform Data, Financial, Accounting, and Data-Quality Disclaimers
21.1. Platform-reported data. Customer acknowledges that Customer Data originates in part from Third-Party Services. Netice does not originate, control, audit, or independently certify the underlying platform reports.
21.2. Daily App Sales. Daily app-sales Outputs are operational analytics and reporting inputs. They may contain estimated, provisional, delayed, reversed, corrected, incomplete, or source-dependent values. They are not final payout, settlement, bank reconciliation, audited revenue, booked revenue, or accounting close.
21.3. Platform Finance. Monthly platform-finance or settlement-style Outputs, where enabled, remain platform-reported finance inputs. They are not a bank statement, proof of receipt, statutory ledger, audit opinion, tax filing, or guarantee of final payable amounts.
21.4. Raw Reports. Raw-report Outputs are provider-native artifacts where supported. Netice does not warrant that all report families, historical periods, countries, formats, or destinations are available or that a provider-native report is correct or complete.
21.5. Currency and enrichment. Currency conversion, report-currency fields, allocation, enrichment, categorization, and derived fields may depend on third-party rates, timing, assumptions, rounding, mappings, and available source fields. They may differ from provider, bank, accounting, or tax calculations.
21.6. Source changes and corrections. Providers may publish late data, revise prior periods, omit fields, change schemas, or issue corrections. Reruns and backfills may change previously delivered Outputs.
21.7. No professional advice. Netice does not provide accounting, audit, tax, legal, investment, treasury, compliance, or financial advice. Guided setup and technical support do not create a professional-services or fiduciary relationship.
21.8. Customer decision responsibility. Customer is solely responsible for:
- validating Outputs against source reports and business expectations;
- determining accounting treatment, revenue recognition, tax, and regulatory reporting;
- reconciling payouts, bank receipts, fees, refunds, taxes, and adjustments;
- reviewing null, missing, estimated, provisional, or anomalous values;
- approving any journal entry, filing, forecast, or business decision; and
- maintaining controls appropriate to Customer’s materiality and risk.
21.9. No reliance as sole control. Customer must not rely on the Services as its sole financial, compliance, fraud, security, backup, or internal-control mechanism.
22. Customer Verification, Continuity, and Records
22.1. Pre-production testing. Customer must test configurations, permissions, schemas, data types, replacement windows, downstream queries, and business logic before relying on Outputs in production.
22.2. Ongoing review. Customer must monitor task status, provider access, destination permissions, alerts, data freshness, schema changes, and Output quality and must investigate anomalies promptly.
22.3. Independent records. Customer must retain source reports, provider records, transaction evidence, contracts, invoices, bank records, tax records, and other records required for its business or law. The Services do not replace those records.
22.4. Business continuity. Customer must maintain reasonable contingency procedures for provider outages, delayed reports, Service unavailability, credential loss, destination failure, and termination.
22.5. Downstream systems. Netice is not responsible for dashboards, transformations, AI systems, models, accounting systems, queries, reports, or decisions built downstream of an Output.
23. Third-Party Services
23.1. Independent services. Third-Party Services are provided under separate terms between Customer and the third party. Netice does not control or endorse them.
23.2. No warranties. Netice makes no representation or warranty concerning a Third-Party Service’s availability, security, compliance, data accuracy, continued integration, terms, support, or fitness.
23.3. Provider action. Netice is not liable for delay, failure, data loss, cost, suspension, or damage caused by a Third-Party Service, including provider API changes, quota enforcement, credential revocation, report delay, region failure, or account action.
23.4. Links and references. Third-party names, logos, links, and documentation are provided for identification and convenience and do not imply sponsorship, endorsement, partnership, or affiliation.
23.5. Customer disputes. Customer must resolve disputes about a Third-Party Service directly with its provider, except Netice may assist as a courtesy without assuming liability.
24. Term, Cancellation, and Termination
24.1. Term. The Agreement begins when Customer first accepts it or accesses the Services and continues until all subscriptions and Orders expire or are terminated.
24.2. Customer cancellation. Customer may cancel renewal as described in Section 13. Cancellation does not terminate the current paid Subscription Term or eliminate fees already committed.
24.3. Termination for breach. Either party may terminate the Agreement or an affected Order if the other party materially breaches it and fails to cure within ten (10) days after written notice. No cure period is required where the breach is incapable of cure.
24.4. Immediate termination by Netice. Netice may terminate immediately if:
- Customer’s use is unlawful, fraudulent, malicious, or creates a material security risk;
- Customer intentionally circumvents access, billing, tenant, or usage controls;
- Customer repeatedly breaches the Agreement;
- payment remains overdue after suspension or the reseller cancels the transaction;
- Customer becomes insolvent, ceases business, enters liquidation, or makes a general assignment for creditors, to the extent permitted by law;
- a Third-Party Service or authority makes continued provision unlawful or materially impracticable; or
- Netice is entitled to suspend under Section 20 and reasonably determines the risk cannot be adequately remedied.
24.5. Termination by Netice without cause. Netice may terminate a month-to-month Service without cause on thirty (30) days’ notice and an annual or fixed-term Service effective at the end of the current Subscription Term. If Netice terminates a prepaid fixed-term Service without cause before the end of the term, Netice or the reseller will refund the unused prepaid portion as Customer’s sole remedy.
24.6. Effect. On termination or expiry:
- Customer’s right to use the Services ends;
- tasks and scheduled processing stop;
- Customer must pay all accrued and committed amounts;
- Customer must cease use of Netice Materials except as expressly permitted;
- Customer must revoke provider-side access and rotate credentials;
- Customer-owned Outputs already delivered remain in Customer’s destination;
- data return and deletion are governed by this Section, Schedule 1, and Schedule 3; and
- provisions intended by their nature to survive remain effective.
24.7. No refund. Except where Section 24.5, an Order, reseller terms, or mandatory law expressly requires, termination or suspension does not entitle Customer to a refund or credit.
24.8. Survival. Sections concerning fees, ownership, confidentiality, data responsibilities, disclaimers, limitations of liability, indemnification, compliance, disputes, and provisions that by nature should survive will survive termination.
25. Data Return, Retrieval, and Deletion
25.1. Customer-owned Outputs. Customer is responsible for retaining Outputs in its own destination. Netice is not obligated to re-create an Output after termination if it has been delivered to Customer-controlled infrastructure.
25.2. Retrieval period. Unless a longer period is required by Schedule 3, an Order, or law, Netice may make retained exportable Customer Data available for thirty (30) calendar days after the applicable transition or termination date. Customer must request and complete retrieval during that period.
25.3. Deletion. After the retrieval period, Netice may delete Customer Data and configurations from active systems, subject to legal retention, security, dispute, fraud, billing, and backup requirements. Backup copies may remain until overwritten in the ordinary backup cycle, will remain protected, and will not be restored except for disaster recovery or legal necessity.
25.4. Credentials. Netice may delete stored Integration Credentials and secret references after termination. Customer remains responsible for revoking provider-side access.
25.5. Account and legal records. Netice may retain Account Data, billing records, acceptance records, security logs, legal holds, and evidence of transactions or compliance for as long as reasonably necessary for the purposes described in the Privacy Policy or required by law.
25.6. Switching law. To the extent the EU Data Act or another mandatory switching law applies, Schedule 3 controls over inconsistent provisions in this Section.
26. EU Data Act Switching and Portability
26.1. Applicability. Schedule 3 applies to the extent the Services are “data processing services” and Customer has switching rights under Regulation (EU) 2023/2854 (the “EU Data Act”) or materially equivalent mandatory law.
26.2. No expansion beyond law. Schedule 3 does not concede that every feature, Order, customer, or service falls within the EU Data Act and does not grant rights beyond the mandatory scope except where it expressly says so.
26.3. Existing customer-owned destination. Because core Outputs are ordinarily delivered to Customer-controlled infrastructure, Customer may already possess much of the data needed to switch. Customer must preserve those Outputs and cannot require Netice to re-create data that Customer deleted or that Netice no longer lawfully retains.
26.4. Switching documentation. Netice will maintain switching and portability information, methods, formats, known restrictions, and relevant data structures at:

or a successor URL to which that page redirects. Customer must review that information as part of its exit planning.
27. Warranties and Disclaimers
27.1. Mutual authority. Each party warrants that it has authority to enter the Agreement.
27.2. Customer warranties. Customer warrants that its use, Customer Data, instructions, sources, destinations, and Integration Credentials comply with the Agreement, law, and third-party rights.
27.3. AS IS AND AS AVAILABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, BETA SERVICES, DOCUMENTATION, SUPPORT, OUTPUTS, TRANSFORMATIONS, ENRICHMENTS, EXCHANGE-RATE INFORMATION, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
27.4. DISCLAIMED WARRANTIES. NETICE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, TIMELINESS, RESULTS, SECURITY, COMPATIBILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.
27.5. NO GUARANTEE. NETICE DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS;
- DATA OR OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, FINAL, UNIQUE, OR SUITABLE FOR CUSTOMER’S PURPOSE;
- ANY DEFECT, INCIDENT, OR ERROR WILL BE CORRECTED;
- A THIRD-PARTY SERVICE WILL CONTINUE TO PROVIDE DATA OR ACCESS;
- A PARTICULAR SOURCE, DESTINATION, REPORT, FORMAT, COUNTRY, CURRENCY, HISTORY, OR FEATURE WILL REMAIN AVAILABLE;
- CUSTOMER WILL ACHIEVE A BUSINESS, FINANCIAL, ACCOUNTING, TAX, COMPLIANCE, OR TECHNICAL RESULT; OR
- THE SERVICES WILL MEET A STANDARD NOT EXPRESSLY STATED IN A SIGNED ORDER.
27.6. Customer evaluation. Customer has independently evaluated the Services and assumes the risk of using and relying on them.
27.7. Express limited warranties. If a signed Order gives an express warranty, Customer’s exclusive remedy for breach is, at Netice’s option, re-performance of the affected Service or termination of the affected Order and refund of unused prepaid fees for the terminated period, unless the Order expressly provides a different remedy.
28. Customer Indemnification
28.1. Indemnity. To the fullest extent permitted by law, Customer will defend, indemnify, and hold harmless Netice, its Affiliates, licensors, subprocessors, and their directors, officers, employees, contractors, and agents from and against third-party claims, proceedings, investigations, demands, damages, judgments, settlements, fines, penalties, losses, liabilities, costs, and reasonable legal fees arising out of or relating to:
- Customer Data or an allegation that Customer Data infringes rights or was unlawfully obtained, disclosed, or Processed;
- Customer’s source, destination, Integration Credentials, or Third-Party Service account;
- Customer’s breach of the Agreement;
- Customer’s or an Authorized User’s unlawful, fraudulent, negligent, malicious, or unauthorized use;
- Restricted Data submitted contrary to Section 9;
- Customer’s failure to provide a lawful basis, notice, consent, authorization, or Data Subject response;
- Customer’s accounting, tax, regulatory, financial, payout, employment, or other decision based on an Output;
- Customer’s downstream systems, modifications, combinations, or instructions;
- a violation of Third-Party Service terms, export controls, sanctions, or law; or
- acts or omissions of Authorized Users, Customer’s contractors, or persons using Customer’s accounts.
28.2. Procedure. Netice will give reasonably prompt notice of an indemnified claim, subject to no loss of rights except to the extent Customer is materially prejudiced by delay. Customer may control the defense with counsel reasonably acceptable to Netice. Netice may participate at its own expense.
28.3. Settlement. Customer may not settle a claim in a way that admits fault by Netice, imposes non-monetary obligations on Netice, restricts Netice’s business, or fails to provide an unconditional release without Netice’s prior written consent.
28.4. Failure to defend. If Customer does not promptly assume and diligently conduct the defense, Netice may do so and recover its reasonable costs from Customer.
28.5. No Netice indemnity unless ordered. Netice has no indemnification obligation except to the extent expressly stated in a signed Order.
28.6. Uncapped Customer obligations. Customer’s payment, reimbursement, and indemnification obligations are not limited by Section 29.
29. Limitation of Liability
29.1. EXCLUDED DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, NETICE AND ITS AFFILIATES, LICENSORS, SUBPROCESSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
- LOSS OF PROFITS, REVENUE, SALES, SAVINGS, BUSINESS, OPPORTUNITY, CONTRACTS, CUSTOMERS, GOODWILL, OR REPUTATION;
- BUSINESS INTERRUPTION, LOSS OF USE, OR COST OF SUBSTITUTE SERVICES;
- LOSS, CORRUPTION, ALTERATION, RECONSTRUCTION, OR RECOVERY OF DATA;
- DOWNSTREAM REPORTING, MODEL, DASHBOARD, ACCOUNTING, TAX, AUDIT, FORECAST, OR DECISION ERROR;
- REGULATORY FINE, PENALTY, TAX, INTEREST, CHARGEBACK, PROVIDER FEE, CLOUD COST, OR THIRD-PARTY CLAIM; OR
- DAMAGE ARISING FROM A THIRD-PARTY SERVICE, CUSTOMER SYSTEM, CUSTOMER CONFIGURATION, COMPROMISED CUSTOMER CREDENTIAL, OR CUSTOMER’S FAILURE TO BACK UP OR VERIFY DATA,
EVEN IF NETICE WAS ADVISED THAT SUCH DAMAGE WAS POSSIBLE AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
29.2. LIABILITY CAP. TO THE FULLEST EXTENT PERMITTED BY LAW, NETICE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT, THE SERVICES, CUSTOMER DATA, OUTPUTS, OR ANY RELATED MATTER, UNDER ALL THEORIES OF LIABILITY AND FOR ALL CLAIMS COMBINED, WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO NETICE OR ITS AUTHORIZED RESELLER FOR THE AFFECTED SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY.
29.3. FREE SERVICES CAP. IF THE CLAIM RELATES TO A FREE TRIAL, BETA SERVICE, EVALUATION, OR OTHER SERVICE FOR WHICH NO FEE WAS PAID, NETICE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED EUR 100.
29.4. Single cap. Related events, claims, breaches, or series of events constitute one claim for purposes of the cap. The cap is cumulative, not per incident, claimant, theory, or remedy.
29.5. Non-excludable liability. Nothing excludes or limits liability for fraud, intentional misconduct, death or personal injury caused by negligence, or another liability that applicable law does not permit the parties to exclude or limit. Any non-excludable liability is limited to the maximum extent permitted by law.
29.6. Allocation of risk. The fees reflect the allocation of risk in the Agreement. The exclusions and cap are essential bases of the bargain and apply independently of any other provision.
29.7. Claims deadline. To the fullest extent permitted by law, Customer must give Netice written notice describing a claim within thirty (30) days after Customer knew or reasonably should have known of the relevant facts. Any legal proceeding must be commenced within twelve (12) months after the cause of action accrued. A failure to give prompt notice reduces liability to the extent Netice is prejudiced. Mandatory limitation periods prevail where they cannot be shortened.
29.8. No double recovery. Customer may not recover more than once for the same loss and must mitigate losses.
30. Compliance with Law, Sanctions, and Export Controls
30.1. General compliance. Customer must use the Services in compliance with all applicable laws, regulations, court orders, regulatory requirements, and binding industry rules.
30.2. Export and sanctions. Customer represents and warrants that neither Customer nor any Authorized User is prohibited from receiving the Services under applicable sanctions or export-control law. Customer must not use, export, re-export, transfer, or make the Services available to a prohibited person, entity, territory, or end use.
30.3. Anti-corruption. Customer must not use the Services in connection with bribery, corruption, money laundering, terrorist financing, or evasion of financial controls.
30.4. Regulatory suitability. Customer is responsible for determining whether Customer’s industry, jurisdiction, data, and use require licenses, filings, approvals, localization, retention, audit, or contractual terms beyond the standard Services.
30.5. Requests from authorities. Netice may respond to valid legal process and may preserve, restrict, or disclose information where required by law. Where legally permitted, Netice will seek to direct a request for Customer Data to Customer or notify Customer.
31. Notices and Electronic Communications
31.1. Electronic communications. Customer consents to receive contractual, billing, security, service, and legal notices electronically, including by email, in-product message, account banner, or publication at a URL identified in the notice.
31.2. Customer contact. Notices to Customer may be sent to the account, organization, or billing-owner email address. Customer must keep those addresses current and monitor them.
31.3. Notices to Netice. Legal notices to Netice must be sent to contact@netice.fi with the subject “LEGAL NOTICE – NETICE TERMS” and must identify Customer, the relevant account, the sender’s authority, and the notice. Operational support requests must use the Support Portal.
31.4. Deemed receipt. An email notice is deemed received on the first business day after sending unless the sender receives a permanent delivery failure. An in-product notice is deemed received when displayed. Publication alone is sufficient only where the Agreement expressly allows it or the change is non-material.
31.5. Security notices. Customer must not send secrets, raw reports, or Restricted Data in a legal or support notice.
32. Changes to the Agreement
32.1. Changes. Netice may update these Terms to reflect changes in law, Third-Party Services, security, billing, product functionality, business operations, or industry practice.
32.2. Material changes. For a material change that adversely affects existing paid Customers, Netice will give at least thirty (30) days’ notice unless a shorter period is necessary for law, security, fraud prevention, provider requirements, or an emergency.
32.3. Customer choice. If Customer does not agree to a material change, Customer must stop using the Services and cancel before the change takes effect. Continued use after the effective date constitutes acceptance, except where mandatory law requires express acceptance.
32.4. Non-material changes. Clarifications, corrections, formatting changes, beneficial changes, and changes to free or Beta Services may take effect on publication.
32.5. No retroactive expansion. An update will not retroactively create fees or liability for conduct completed before its effective date, except where required by law or agreed by Customer.
32.6. Version records. Netice may retain and rely on electronic records of the terms version, acceptance time, account, user, organization, transaction, IP address, and user agent associated with acceptance.
33. Governing Law and Disputes
33.1. Finnish law. The Agreement and any non-contractual obligations arising out of or relating to it are governed by the laws of Finland, without regard to conflict-of-laws principles.
33.2. CISG excluded. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
33.3. Good-faith escalation. Before filing a claim, a party must give written notice describing the dispute and allow at least thirty (30) days for good-faith business-level discussions, unless delay would prejudice a legal right or urgent relief is needed.
33.4. Exclusive court. The Helsinki District Court, Finland, has exclusive jurisdiction over disputes arising out of or relating to the Agreement. Each party irrevocably submits to that jurisdiction to the fullest extent permitted by law.
33.5. Urgent relief. Either party may seek interim, protective, or injunctive relief in any competent court where necessary to protect Confidential Information, intellectual property, security, data, payment rights, or evidence.
33.6. Individual business claims. Claims must be brought by the contracting entity in its own capacity and not on behalf of another person, except where applicable law does not permit that restriction.
34. Miscellaneous
34.1. Assignment. Customer may not assign, transfer, delegate, or novate the Agreement or an account without Netice’s prior written consent. Any prohibited transfer is void. Netice may assign the Agreement, in whole or part, to an Affiliate or in connection with a merger, financing, reorganization, sale of assets, change of control, or transfer of the Services, upon notice.
34.2. Subcontracting. Netice may use Affiliates and subcontractors to perform the Services. Netice remains responsible for their performance to the extent required by the Agreement and law.
34.3. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, labor dispute, government action, utility or internet failure, cloud or telecommunications outage, Third-Party Service failure, supply-chain failure, denial-of-service attack, or widespread cyber incident. This does not excuse Customer’s obligation to pay amounts already due.
34.4. Independent contractors. The parties are independent contractors. The Agreement creates no agency, partnership, joint venture, employment, fiduciary, franchise, or exclusive relationship.
34.5. No third-party beneficiaries. Except for indemnified parties and as required by applicable reseller terms, the Agreement creates no right enforceable by a third party.
34.6. Severability and adjustment. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and modified only as much as necessary to make it enforceable. The remainder remains effective.
34.7. No waiver. A waiver must be in writing and signed by the waiving party. Delay or failure to enforce a right is not a waiver. A waiver on one occasion is not a waiver on another.
34.8. Cumulative remedies. Remedies are cumulative unless the Agreement expressly states that a remedy is exclusive.
34.9. Entire agreement and non-reliance. The Agreement is the complete agreement concerning its subject and replaces prior or contemporaneous proposals, discussions, statements, and agreements. Customer acknowledges it has not relied on a statement not expressly included in the Agreement, without limiting liability for fraud.
34.10. Headings and interpretation. Headings are for convenience. “Including” means “including without limitation.” The singular includes the plural. References to law include amendments and replacements. “Written” includes electronic form.
34.11. Language. The controlling language is English. A translation is for convenience only unless mandatory law requires otherwise.
34.12. Counterparts and electronic acceptance. An Order may be executed in counterparts and electronically. Click acceptance, electronic signatures, and electronic records have the same effect as originals to the extent permitted by law.
Schedule 1 — Data Processing Addendum
This Data Processing Addendum (“DPA”) forms part of the Agreement when Netice Processes Customer Personal Data on behalf of Customer.
A1. Scope and Roles
A1.1. Customer is the Controller of Customer Personal Data or a Processor acting on behalf of another Controller. Netice is a Processor or subprocessor, respectively.
A1.2. Each party will comply with the data-protection law applicable to its role. Customer is responsible for the lawfulness of its instructions and for ensuring that it may appoint Netice.
A1.3. Netice will Process Customer Personal Data only on Customer’s documented instructions, including instructions concerning transfers, unless Union or Member State law requires otherwise. Where legally permitted, Netice will inform Customer before legally required Processing.
A1.4. Netice will promptly inform Customer if, in Netice’s reasonable opinion, an instruction infringes applicable data-protection law. Netice may suspend the affected Processing until the parties resolve the issue.
A2. Processing Details
The subject matter, duration, nature, purpose, data types, and Data Subject categories are:

A3. Customer Obligations
Customer will:
- provide lawful, fair, and transparent instructions;
- maintain a valid legal basis for Processing and transfers;
- give required privacy notices and obtain required consents or authorizations;
- minimize Customer Personal Data and avoid Restricted Data;
- configure retention, access, sources, destinations, and security appropriately;
- ensure instructions do not cause Netice to violate law or third-party rights;
- respond to Data Subjects and regulators as Controller; and
- notify Netice if Customer’s status, instructions, or data materially changes the risk.
A4. Confidentiality and Personnel
A4.1. Netice will ensure that persons authorized to Process Customer Personal Data are bound by confidentiality obligations and receive appropriate privacy and security instruction.
A4.2. Netice will limit access to persons who need it for assigned duties and will remove access when no longer required.
A5. Security Measures
A5.1. Netice will implement and maintain appropriate technical and organizational measures designed to protect Customer Personal Data, taking into account the state of the art, implementation costs, nature, scope, context, purposes, and risk.
A5.2. The measures in Schedule 2 apply. Netice may update them if the overall level of protection is not materially reduced.
A5.3. Customer acknowledges that security is a shared responsibility and that Customer-controlled sources, destinations, accounts, devices, networks, and access remain Customer’s responsibility.
A6. Subprocessors
A6.1. Customer gives Netice general written authorization to appoint subprocessors.
A6.2. Netice will impose data-protection obligations on each subprocessor that are no less protective in substance than those applicable to Netice for the relevant Processing, as required by law.
A6.3. Netice will make a current subprocessor list available in Documentation, the Privacy Policy, or upon request. Netice will notify Customer of an intended new or replacement subprocessor at least fifteen (15) days before the change where reasonably practicable. Emergency replacements required for security, continuity, or law may occur on shorter notice.
A6.4. Customer may object within ten (10) days after notice on reasonable, documented data-protection grounds. The parties will work in good faith on a commercially reasonable solution. If none is available, Netice may avoid using the subprocessor for Customer, offer an alternative, or either party may terminate the affected Services. Where Customer prepaid for a period after such termination and the objection was reasonable, Netice or the applicable reseller will refund the unused prepaid amount for the terminated affected Services as Customer’s exclusive remedy.
A6.5. Netice remains responsible for subprocessors as required by Article 28 GDPR.
A7. International Transfers
A7.1. Netice may Process Customer Personal Data in the European Economic Area and in other locations used by authorized subprocessors or selected by Customer through a source or destination.
A7.2. Where a transfer requires a safeguard, Netice will use an applicable lawful mechanism, such as an adequacy decision, the European Commission’s Standard Contractual Clauses, or another mechanism recognized by law, and will implement supplementary measures where required.
A7.3. Customer authorizes transfers necessary to provide the Services subject to this DPA. Customer remains responsible for transfers it causes through Customer-selected sources, destinations, regions, or Authorized Users.
A8. Data Subject Requests
A8.1. Taking into account the nature of Processing, Netice will provide reasonable assistance through appropriate technical and organizational measures for Customer to respond to requests to exercise Data Subject rights.
A8.2. If Netice receives a request relating to Customer Personal Data, Netice will, where legally permitted, refer the requester to Customer and not respond on Customer’s behalf unless instructed or legally required.
A8.3. Customer is responsible for verifying the requester, deciding the response, and ensuring lawfulness. Assistance beyond standard Service functionality may be charged at Netice’s then-current professional-services rates where permitted by law.
A9. Security Incidents
A9.1. Netice will notify Customer without undue delay after becoming aware of a Security Incident affecting Customer Personal Data.
A9.2. As information becomes reasonably available, the notice will describe the nature of the incident, affected data and Data Subjects where known, likely consequences, measures taken or proposed, and a contact point. Netice may provide information in phases.
A9.3. Notification is not an admission of fault or liability. Netice is not responsible for incidents occurring solely in Customer-controlled or Third-Party Service systems.
A9.4. Customer is responsible for notifications to Data Subjects, regulators, and others unless law requires Netice to notify directly.
A9.5. Customer will promptly provide information and cooperation Netice reasonably requires to investigate and contain an incident connected to Customer’s systems, users, or credentials.
A10. DPIAs, Consultations, and Regulatory Cooperation
Taking into account the nature of Processing and information available to Netice, Netice will provide reasonable assistance with Customer’s data-protection impact assessments and prior consultations required by Articles 35 and 36 GDPR. Netice may charge for substantial assistance outside standard Documentation and support where permitted by law.
A11. Return and Deletion
A11.1. At termination and on Customer’s choice, Netice will delete or return Customer Personal Data as provided by the Agreement and Schedule 3, unless law requires retention.
A11.2. Customer must retrieve data during the applicable retrieval period. Customer-owned Outputs already delivered are deemed returned.
A11.3. Backup copies may remain until overwritten in the ordinary cycle, will remain protected, and will not be actively Processed except for disaster recovery, security, or legal necessity.
A11.4. On request, Netice will provide reasonable confirmation of deletion, subject to confidentiality, security, and legal limits.
A12. Information and Audits
A12.1. Netice will make available information reasonably necessary to demonstrate compliance with Article 28 GDPR, which may include policies, questionnaires, summaries, certifications, or independent reports where available.
A12.2. Customer must first use available documentation and reports. If they are insufficient, Customer may conduct one audit in any twelve-month period, unless a competent authority or confirmed material Security Incident reasonably requires another.
A12.3. An audit requires at least thirty (30) days’ notice, must occur during normal business hours, must minimize disruption, and must be conducted by Customer or an independent auditor that is not a Netice competitor and is bound by confidentiality.
A12.4. An audit may not access another customer’s data, Netice trade secrets beyond what is necessary, vulnerability details that would create risk, source code, or areas controlled by a subprocessor where equivalent assurance is available.
A12.5. Customer bears audit costs and Netice may charge reasonable time and expense, unless the audit identifies a material breach by Netice, in which case Netice will bear its own reasonable audit-support costs.
A13. Government Requests
A13.1. Netice will review governmental requests for Customer Personal Data for legal validity and scope and will challenge requests that Netice reasonably believes are unlawful where appropriate and permitted.
A13.2. Where legally allowed, Netice will notify Customer before disclosure and provide only the minimum information legally required.
A14. U.S. State Privacy Terms
To the extent a U.S. state privacy law applies and defines Netice as a service provider, contractor, or processor:
- Netice will Process Customer Personal Data only for the business purposes in the Agreement and Customer’s documented instructions;
- Netice will not sell or share Customer Personal Data for cross-context behavioral advertising;
- Netice will not retain, use, or disclose Customer Personal Data outside the direct business relationship except as permitted by law;
- Netice will not combine Customer Personal Data with personal information received from another person or collected from Netice’s own interaction with an individual except as permitted by law;
- Netice will notify Customer if it determines it can no longer meet applicable obligations; and
- Customer may take reasonable and appropriate steps to stop and remediate unauthorized use, subject to the audit limitations in this DPA.
A15. Liability and Conflict
A15.1. The liability limitations and exclusions in the Agreement apply to this DPA to the fullest extent permitted by law.
A15.2. Nothing limits a Data Subject’s or regulator’s rights under mandatory law.
A15.3. If this DPA conflicts with the rest of the Agreement concerning Processing of Customer Personal Data, this DPA controls. Otherwise, the Agreement remains effective.
A16. Term
This DPA begins when Netice first Processes Customer Personal Data and continues until Netice no longer Processes it, subject to surviving confidentiality, deletion, audit, and legal obligations.
Schedule 2 — Technical and Organizational Security Measures
Netice will maintain a security program appropriate to the nature of the Services and risk. The measures below describe the baseline program and are not a representation that every control applies identically to every component or that Netice holds a particular certification.
B1. Security Governance
- documented security responsibilities and policies appropriate to the business;
- risk-based review of systems, changes, vendors, and incidents;
- confidentiality obligations for personnel with access;
- security awareness and role-appropriate guidance; and
- periodic review and improvement of controls.
B2. Identity and Access Management
- unique user identities where appropriate;
- role-based and least-privilege access;
- server-side authorization and tenant/workspace checks;
- review and removal of access when no longer needed;
- multi-factor authentication for privileged or sensitive access where supported and appropriate;
- session, reauthentication, and credential controls appropriate to risk; and
- separation of customer roles and administrative functions.
B3. Credential and Secret Protection
- designated secure collection paths for Integration Credentials;
- storage of secret material in an approved protected secret backend;
- separation of secret values from ordinary task and connection records;
- write-only presentation of credentials in normal user interfaces;
- tenant and purpose validation before authorized secret use;
- avoidance of raw secrets in normal logs and diagnostics; and
- rotation, revocation, or invalidation procedures where appropriate.
B4. Data Protection
- encryption in transit using industry-standard transport protections;
- encryption at rest for supported storage and secret systems;
- data minimization and purpose limitation;
- logical tenant segregation;
- controlled staging, caching, and temporary Processing;
- safe metadata and redaction in diagnostics where appropriate; and
- disposal or deletion processes aligned with retention requirements.
B5. Application and Infrastructure Security
- change control and review proportionate to risk;
- testing and validation for material changes;
- dependency and vulnerability management;
- secure configuration and least-privilege service identities;
- protections against common web and API threats;
- rate limiting, abuse controls, and workload safeguards where appropriate;
- logging and monitoring of security-relevant events; and
- corrective action for identified vulnerabilities based on risk.
B6. Availability and Resilience
- operational monitoring appropriate to the Services;
- backup or recovery measures for selected service metadata and systems;
- idempotency, locking, retry, or replacement safeguards where appropriate to data workflows;
- incident, continuity, and recovery procedures proportionate to the business; and
- use of established cloud and infrastructure providers.
These measures do not create a specific uptime, recovery-time, or recovery-point commitment.
B7. Incident Response
- procedures to identify, assess, contain, investigate, remediate, and document security events;
- escalation paths and allocation of incident responsibilities;
- preservation of relevant evidence where appropriate;
- notification processes consistent with Schedule 1; and
- post-incident review and corrective action where warranted.
B8. Subprocessor and Physical Security
- risk-based review and contractual protection for relevant subprocessors;
- reliance on cloud-provider physical and environmental controls for hosted infrastructure; and
- limitation of physical access to systems and facilities through the applicable provider’s controls.
B9. Customer Security Responsibilities
Customer must:
- secure source and destination accounts;
- use least-privilege permissions;
- enable provider security controls and MFA;
- protect and rotate Integration Credentials;
- remove former users promptly;
- monitor destination costs and access;
- maintain backups and provider-side records;
- validate task targets before execution; and
- report suspected compromise promptly.
Schedule 3 — Switching and Portability Terms
This Schedule is intended to state the parties’ switching rights and obligations where Chapter VI of the EU Data Act applies.
C1. Switching Options and Notice
C1.1. Customer may notify Netice that, after the applicable notice period, it wishes to:
- switch to another provider covering the same service type;
- port Exportable Data and Digital Assets to Customer’s on-premises ICT infrastructure;
- use another provider in parallel where applicable; or
- erase Exportable Data and Digital Assets without switching.
C1.2. Customer must submit a switching request through the Support Portal and clearly identify:
- the authorized requester and Customer account;
- the affected workspace, Orders, and Services;
- the selected option;
- the destination provider or on-premises destination, where applicable;
- required technical contacts and transfer details;
- requested formats where more than one supported format is available; and
- the requested initiation date.
C1.3. Netice may verify authority, identity, and destination details before initiating the switch.
C1.4. The maximum notice period to initiate switching will not exceed two (2) months. Netice may initiate sooner.
C2. Transition Period
C2.1. After the notice period, the mandatory maximum transition period is thirty (30) calendar days.
C2.2. During the transition period, Netice will, within the applicable legal scope:
- provide reasonable assistance to Customer and Customer-authorized third parties;
- act with due care to maintain business continuity;
- continue contracted functions and Services;
- provide clear information concerning known continuity risks attributable to Netice as the source provider; and
- maintain a high level of security during transfer and retrieval.
C2.3. If the thirty-day transition is technically infeasible, Netice will notify Customer within fourteen (14) working days after the switching request, explain the technical infeasibility, and state an alternative transition period not exceeding seven (7) months. Service continuity will be maintained during that alternative period, subject to the Agreement.
C2.4. Customer may extend the transition period once for a period Customer considers appropriate, subject to payment of ordinary service fees and reasonable technical coordination.
C3. Exportable Data and Digital Assets
For purposes of Article 25(2)(e) EU Data Act, the exhaustive categories portable from Netice, to the extent retained and legally transferable, are:
- Customer-provided data: Customer Data uploaded or submitted directly to Netice.
- Provider-retrieved data: platform reports, records, and artifacts Netice retrieved from Customer-authorized sources and still retains, excluding copies already exclusively held in Customer’s destination where Netice no longer retains them.
- Customer Outputs: managed tables, files, manifests, sidecars, schemas, and other customer-facing Outputs generated for Customer, including those already located in Customer-controlled destinations.
- Task configurations: source and destination categories, selected providers, report modes, schedules, refresh and backfill settings, report-currency settings, output options, and other customer-configurable task parameters.
- Workspace and access configuration: Customer organization profile, Authorized User list, roles, and workspace-level settings, excluding authentication secrets and identity-provider internals.
- Saved-connection metadata: provider type, connection label, safe scope and status metadata, and non-secret configuration required to identify or recreate the connection. Raw passwords, tokens, keys, private keys, certificates, secret values, and internal secret references are not portable.
- Operational history: retained task and run timestamps, statuses, requested and completed windows, row or file counts, safe reason and warning codes, and customer-facing review summaries.
- Customer-facing provenance: retained source hashes, row hashes, schema versions, manifests, and other provenance metadata exposed to Customer.
- Support submissions: Customer’s retained support requests and attachments to the extent lawfully exportable and reasonably separable.
- Netice-held account and subscription metadata: Customer profile, organization, plan, entitlement, and transaction-reference metadata held by Netice, excluding payment-card data and records controlled exclusively by Paddle or another reseller.
Netice is not required to create data that it does not retain, reconstruct data Customer deleted, obtain data no longer available from a Third-Party Service, or export another person’s data.
C4. Excluded Internal Categories
For purposes of Article 25(2)(f) EU Data Act, the exhaustive categories excluded because they are specific to Netice’s internal functioning, protect security or trade secrets, or are not Exportable Data are:
- Netice source code, object code, build artifacts, deployment packages, internal configuration, infrastructure-as-code, system prompts, and proprietary tools;
- proprietary algorithms, transformation implementations, mapping logic, scheduling logic, models, heuristics, and methods, except customer-facing schemas, field definitions, and documentation reasonably necessary to interpret exported Outputs;
- internal tenant identifiers, database paths, queue identifiers, cloud resource identifiers, secret identifiers, internal service-account information, signing material, tokens, credentials, and cryptographic keys;
- internal security logs, threat intelligence, fraud and abuse scores, risk models, vulnerability information, penetration-test material, incident-response records, and detection logic;
- internal observability data, performance telemetry, infrastructure metrics, traces, debugging artifacts, and capacity models not directly generated by or directly related to Customer in a portable customer-facing form;
- internal administrative notes, personnel communications, legal advice, privileged material, and support investigation notes not submitted by Customer;
- information belonging to another customer, Netice personnel, or a third party;
- third-party software, content, reports, or data that Netice is not permitted to transfer;
- de-identified or aggregated analytics that do not identify Customer;
- backup-system internals, replication metadata, integrity metadata, and disaster-recovery information not required to use Customer’s data; and
- Netice financial, commercial, supplier, and business records other than Customer-facing account and transaction metadata described in C3.
These exclusions will not be applied in a way that impedes or delays switching. Where a protected internal element is necessary to interpret Exportable Data, Netice will provide a customer-facing description or interface information without disclosing the protected implementation.
C5. Methods, Formats, and Register
C5.1. Depending on the category and destination, Netice may provide Exportable Data through:
- the Customer-owned destination in which the Output already resides;
- a secure download or transfer mechanism;
- CSV, JSON, SQL-compatible export, provider-native file, schema file, manifest, or another commonly used machine-readable format;
- customer-facing configuration export; or
- another mutually agreed secure method.
C5.2. Netice is not required to export raw Integration Credentials. Customer must retain originals and recreate or rotate connections at the destination provider.
C5.3. Netice will maintain an up-to-date online register of relevant export structures, formats, standards, known restrictions, and technical limitations at the Switching and Portability URL stated in Section 26.4.
C5.4. Customer acknowledges that functional equivalence depends on the destination provider and Customer configuration. Netice does not warrant that another provider supports Netice-specific features or identical semantics.
C6. Retrieval and Erasure
C6.1. Customer will have at least thirty (30) calendar days to retrieve Exportable Data after the agreed transition period ends.
C6.2. The Agreement is considered terminated for the affected Service:
- on successful completion of the switching process; or
- at the end of the maximum notice period if Customer chose erasure without switching,
subject to accrued payment and surviving obligations.
C6.3. A switch is successfully completed when the agreed Exportable Data has been made available or transferred in the agreed manner and either:
- Customer confirms completion;
- the destination provider confirms receipt; or
- objective transfer records show successful delivery and Customer does not report a material transfer defect within ten (10) business days after Netice’s completion notice.
C6.4. After the retrieval period or a later date agreed in writing, and after successful completion where applicable, Netice will erase Exportable Data and Digital Assets generated directly by or relating directly to Customer from active systems. Backup copies may remain only until overwritten in the ordinary protected backup cycle, will not be used for other purposes, and will be fully erased through that cycle as soon as technically practicable.
C6.5. Netice may retain data required by law, billing, security, fraud prevention, sanctions, legal holds, or establishment, exercise, or defense of claims, but will isolate and protect it and will not use it to provide the terminated Service.
C7. Charges
C7.1. Until January 12, 2027, Netice may impose a switching charge only to the extent permitted by Article 29 EU Data Act and only up to Netice’s directly attributable costs of the switching process.
C7.2. From January 12, 2027, Netice will not impose switching charges where Article 29 applies.
C7.3. Switching charges do not include:
- ordinary subscription and service fees due during the notice, transition, or any Customer-requested extension while the contracted Service remains available; no subscription fee will be imposed solely for the mandatory post-termination retrieval period;
- fees and commitments already due under an Order;
- early-termination amounts that are not imposed because of switching and are lawful;
- Customer’s source, destination, cloud, warehouse, network, or third-party costs; or
- optional professional services separately requested by Customer that are not necessary for Netice to meet mandatory switching duties.
C7.4. Before a chargeable switching service, Netice will provide an estimate where required by law.
C8. Customer Cooperation
Customer must:
- plan and manage its exit strategy;
- preserve customer-owned Outputs and independent backups;
- provide accurate destination and contact information;
- ensure the destination is ready, secure, and able to receive data;
- obtain destination-provider cooperation;
- maintain valid access and pay ordinary fees during the process;
- make timely decisions and test imported data;
- protect credentials and transfer channels; and
- promptly identify material transfer defects.
Delay caused by Customer or the destination provider extends the applicable schedule to the extent permitted by law.
C9. Personal Data and Legal Limits
Switching does not create a legal basis to transfer Personal Data. Customer must ensure the destination and transfer comply with data-protection law and third-party rights. Netice may require lawful instructions, safeguards, redaction, or proof of authority and may withhold data whose transfer would be unlawful.
C10. Good Faith
The parties will cooperate in good faith to make switching effective, maintain continuity, protect security, and transfer data in a timely manner within their respective control.
